Terms of Service

1. Acceptance

By joining the Nexus Signals Discord, purchasing a membership on Whop, or using the Nexus Signals website or bot (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. Who we are

The Service is operated by Cognesia Inc, a Maryland corporation ("we," "us," "our"). Contact: support@nexusbot.cc.

3. Nature of the Service — research and education only

The Service provides research, commentary, education, and automated informational "signals" about prediction markets, crypto, and related topics. The Service is NOT, and must not be construed as:

• investment, financial, trading, legal, accounting, or tax advice;
• a recommendation, solicitation, or offer to buy, sell, or hold any security, token, contract, or position;
• a managed account, fund, or advisory service; or
• a guarantee of any outcome.

We are not a registered broker-dealer, investment adviser, commodity trading advisor, or financial planner, and no fiduciary relationship is created by your use of the Service.

4. No guarantees / no reliance

All content is provided "as is" and "as available." We make no representation or warranty about accuracy, completeness, timeliness, or profitability. Automated signals are generated by software and may be wrong, delayed, or incomplete. Past performance does not indicate future results. You must not rely on the Service as the sole basis for any decision.

5. Assumption of risk

Trading and participating in prediction markets, crypto, and other markets involves substantial risk, including total loss of capital. You acknowledge you understand these risks and that you alone are responsible for your decisions and outcomes. You should consult a licensed financial professional before acting.

6. Eligibility / age

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally permitted to use the Service where you live. It is your responsibility to ensure that participating in prediction markets, crypto, or related activity is legal in your jurisdiction. Some products or markets are restricted or prohibited in certain regions; we do not offer the Service where it is unlawful.

7. No solicitation in restricted jurisdictions

Nothing in the Service is directed to any person in any jurisdiction where such distribution or use would be contrary to law.

8. Memberships, billing, and payments

Paid memberships are processed through Whop and its payment processors, subject to their terms. Prices, tiers, and benefits are described at checkout and may change with notice. Paid memberships renew automatically on a monthly basis until cancelled. You may cancel at any time through your Whop account; cancellation stops future renewals but does not retroactively refund the current billing period. See our Return & Refund Policy for details.

9. Refunds

Memberships grant access to digital research and educational content. Except where required by law, fees are non-refundable, including for partial billing periods. You may cancel at any time to stop future renewals; cancellation stops future charges but does not refund the current period. Some jurisdictions and card-network or Whop processor rules may grant additional refund or cooling-off rights, which we honor where they apply. Full details are in our Return & Refund Policy.

10. Acceptable use / community rules

You agree not to: share or resell paid content outside the Service; post unlawful, abusive, or misleading content; impersonate others; scrape or automate access; or use the Service to harm others. We may remove content and suspend or terminate access for violations, without refund where permitted by law.

11. No partnership / no advice relationship

Your use of the Service does not create any partnership, agency, employment, advisory, or fiduciary relationship between you and us or other members.

12. Third-party services

The Service relies on third parties (e.g., Discord, Whop, payment processors, market-data sources). We are not responsible for their content, availability, or actions, and your use of them is subject to their terms.

13. Intellectual property

All content, signals, software, and branding are owned by Cognesia Inc or its licensors. Your membership grants a limited, personal, non-transferable license to access content for your own use only. No resale or redistribution. Software access is also governed by our End User License Agreement.

14. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service or violation of these Terms.

17. Changes to the Terms / Service

We may modify the Service or these Terms; material changes will be posted with an updated date, and continued use means acceptance.

18. Governing law / disputes

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws rules. The state and federal courts located in Maryland will have jurisdiction over any dispute arising from these Terms or the Service, and you consent to that venue.
