End User License Agreement

This EULA governs your use of the Nexus Signals software, including the Discord bot, the AI research assistant, and any signals API. It is part of, and incorporated into, our Terms of Service. Research and education only — not financial advice.

1. License grant

Subject to these terms and your active membership, Cognesia Inc grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Nexus Signals software and content for your own personal, internal use only.

2. Restrictions

You may not, and may not permit anyone else to:

  • resell, sublicense, redistribute, or share paid content, signals, or API access outside the Service;
  • reverse-engineer, decompile, or attempt to extract source code, models, or the underlying knowledge base, except to the extent this restriction is prohibited by law;
  • scrape, bulk-download, or use automated means to access the Service beyond any documented API and its rate limits;
  • circumvent access controls, usage limits, or paywalls; or
  • use the software to build a competing product or to harm, disrupt, or overload the Service.

3. API keys (Pro)

If your plan includes a signals API key, the key is confidential and tied to your account. You are responsible for all activity under your key. Do not share it. We may rotate, rate-limit, or revoke a key for misuse, security reasons, or violation of these terms. API access is provided "as is" and may change.

4. Ownership

The software, signals, models, knowledge base, branding, and all related intellectual property are owned by Cognesia Inc or its licensors. This EULA grants a license to use, not a transfer of ownership. All rights not expressly granted are reserved.

5. No financial advice

The software outputs — including signals, rankings, assistant answers, and API responses — are research and educational information only. They are not investment, trading, legal, tax, or financial advice, and are not a recommendation to buy, sell, or hold anything. Automated outputs may be wrong, delayed, or incomplete. You are solely responsible for your decisions.

6. Termination

This license ends automatically if your membership ends or if you breach these terms. On termination you must stop using the software and any API keys. Sections that by their nature should survive (ownership, disclaimers, limitation of liability) survive termination.

7. Disclaimer & limitation of liability

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNESIA INC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SOFTWARE.

8. Governing law

This EULA is governed by the laws of the State of Maryland, without regard to conflict-of-laws rules, consistent with our Terms of Service.
